PLEASE READ THE FOLLOWING TERMS OF USE CAREFULLY SO THAT YOU ARE AWARE OF YOUR RIGHTS AND OBLIGATIONS TOWARDS THE APPLICABLE FAVE COMPANY IN YOUR JURISDICTION (FAVE ASIA TECHNOLOGIES SDN BHD (COMPANY REGISTRATION NO. 201101000765 (928899-V)) IN MALAYSIA AND BEECONOMIC SINGAPORE PTE. LTD. (UEN: 201002456D) IN SINGAPORE AND ITS RELATED COMPANIES, SUBSIDIARIES AND AFFILIATES (INDIVIDUALLY AND COLLECTIVELY, "FAVE", "WE", "US" OR "OUR") IN RESPECT OF THE ACCESS AND USE OF THE PLATFORM AND/OR SERVICES PROVIDED BY US.
BY ACCESSING THE PLATFORM, USING THE SERVICES AND/OR REGISTERING FOR AN ACCOUNT WITH US, YOU GIVE YOUR ACCEPTANCE OF AND CONSENT TO THESE TERMS OF USE, WHICH SHALL INCLUDE THOSE ADDITIONAL TERMS AND CONDITIONS AND POLICIES REFERENCED HEREIN AND/OR LINKED HERETO AND/OR IMPOSED BY US FROM TIME TO TIME. YOUR ACCEPTANCE OF THESE TERMS OF USE SHALL CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN FAVE AND YOU AS THE USER. IF YOU DO NOT AGREE WITH THESE TERMS OF USE, IN WHOLE OR IN PART, PLEASE DISCONTINUE ACCESSING AND USING THE PLATFORM, ACCOUNT AND/OR SERVICES IMMEDIATELY.
16D SPECIFIC T&C – PayLater by GRAB
16D.1 INTRODUCTION
(a) PayLater by GRAB is a feature that enables you to opt to pay for the Merchant Offering in instalments, subject to applicable terms and conditions that may be applied between you, participating Merchants and GRAB.
(b) Your usage of and/or transaction carried out on PayLater by GRAB will be additionally governed by these Specific T&C. Additionally, you are also advised to review any other terms and conditions that may be imposed by the participating Merchants and/or GRAB in relation to your use of the PayLater by GRAB service.
16D.2 PAYLATER by GRAB TRANSACTION
(a) The PayLater by GRAB transaction begins when you select PayLater by GRAB as your mode of payment during your Fave transaction either online or offline.
(b) Any transactions carried out through PayLater by GRAB are directed and initiated by you and are in no way controlled by Fave. In particular, the FINAL PRICE shall be the amount specified and input by you onto our Platform. WE SHALL NOT BEAR ANY LIABILITY OR RESPONSIBILITY FOR LOSSES OF ANY KIND THAT YOU MAY INCUR AS A RESULT OF YOUR FAILING TO INPUT THE CORRECT FINAL PRICE.
(c) We merely act as a facilitator in providing the Platform to assist you in making the instalment payments at the Merchant’s participating outlet, whether online or offline. PayLater by GRAB is offered by Grab and Fave has no role to play in the approval, extension, modification, pre-closure, closure or any incidental matter pertaining to offering of the PayLater by GRAB, which is decided at the sole discretion of Grab.
(d) You are advised to contact Grab for further details regarding your application to utilize the PayLater by GRAB service. This includes, but is not limited to, information on your instalment schedule, available credit limit, and any other relevant terms and conditions associated with the service
16D.3 PAYLATER by GRAB TERMS
(a) If you are a Grab User, you may, where available, select the PayLater by GRAB service in respect of your transaction concluded in the Platform between you and the respective participating Merchant.
(b) When a PayLater by GRAB request takes place, you agree that Grab and/or the participating Merchants reserves the right to impose such limits, restrictions and/or further conditions to your access to and use of the PayLater by GRAB service, including setting a minimum spend requirement in order to use the PayLater by GRAB service, if applicable.
(c) In the event that you choose to pay for your goods and/or services on an instalment basis via PayLater by GRAB, you agree that:
(i) The participating merchant will provide instalment payment terms, allowing you to pay for the transaction (including any applicable tips) in equal, interest-free monthly instalments, based on the selected tenure. The first instalment, if applicable, may be due at the time of purchase;
(ii) The participating Merchant reserves the right to transfer or assign the receivables owed by you to a third-party entity (the "Assignee"). Upon such assignment, you will be notified and shall be required to make payments directly to the Assignee under the same terms as initially agreed with the respective participating Merchant;
(iii) Fave or Grab may disclose your personal information, such as your name and contact details, to the participating merchant or the Assignee to facilitate the payment process.
(iv) In the event of non-payment, the participating Merchant, the Assignee, and/or any authorized party (including GRAB) may take necessary actions to enforce payment collection.
(d) the PayLater by GRAB being offered to you is governed by the respective terms and conditions by Grab, and you are advised to approach Grab in case of any complaint, dispute and/or enquiry about your PayLater by GRAB transaction.
(e) By using PayLater by GRAB, you irrevocably acknowledge and agree that Fave may use all and/or any of your information (“Payment Instruction”) including but not limited to handling billing information and/or chargeback, disputes and/or claims in the course of using the PayLater by GRAB.. You acknowledge and agree that it is your sole responsibility to ensure that all your Payment Instructions are correct, complete and accurate in every aspect and you understand that time is required to process your Payment Instructions. The Payment Instructions provided by you will be treated as final and we are not obliged to verify the Payment Instructions with you. Further, by providing us with your Payment Instructions, you agree to pay or authorise us to deduct from your Account all fees and charges associated with your Payment Instructions. For the avoidance of doubt, any concern, dispute or query in respect of Payment Instructions and/or the functionality of the PayLater by GRAB service shall be resolved between you and the relevant financial institution, credit/debit card issuer and/or Grab respectively.
16D.4 REFUND & CHARGEBACK
(a) Refund requests may be submitted to Fave or directly to the participating Merchant. However, final approval for any refund will be determined by the Merchant. Fave will collaborate with the Merchant to investigate and/or verify the legitimacy of the request. If you have obtained proof of payment and refund approval from the Merchant, kindly provide us with the relevant supporting documentation.
(b) We only facilitate refunds for transactions made within a 60-day period. The refund will be issued based on your original payment method.
(c) In the event that the participating Merchant approves a refund amount, Fave shall notify Grab to initiate the refund process. Grab will be responsible for reimbursing the amount approved by the Merchant, subject to any processing charges and/or applicable terms and conditions that may be imposed by Grab.
(e) We shall not be responsible and will not assume liability for any losses, damages, reversals, fees, claims, penalties and/or chargebacks to you arising (including but not limited to) from authorized/unauthorized use of your account by you or third party, loss or damage of your mobile device, wrong information and details including payment information and/or card details entered by you or wrong remittance by you in connection with the payment for the purchase of a Merchant Offering. We reserve all rights to verify whether you are duly authorised to use the PayLater by GRAB and we may suspend your payment transaction until such authorisation is confirmed or cancel such relevant transaction where such confirmation is not available.
(f) We shall also not be responsible and will not assume liability for any losses, damages, reversals, fees, claims, chargebacks and/or refunds to you arising from a Merchant's failure to fulfill their Merchant Offering and/or in the event of the participating Merchant going out of business. While we will make best efforts to recover funds from the participating Merchant, we shall not be liable to make any restitution to you for such claims or refunds. You hereby acknowledge and agree that your recourse for such matters lies directly with the respective participating Merchant, and our involvement is limited to facilitating the recovery process at our discretion.
(g) Any chargeback requests must be promptly initiated by you upon discovery and/or realization of the need for such action. We strongly advise you to consult with card issuing bank and/or Grab to ascertain the precise process and timeline required for submitting such requests. Fave disclaims any responsibility for any damages and/or losses, howsoever arising that may arise from delays in filing chargeback requests.
(j) Cashback
At our sole discretion, you may be issued with one-time Cashback upon each successful PayLater by GRAB transaction. Fave reserves the right to determine, at its absolute discretion, whether or not to issue Cashback for any transaction, without prior notice or obligation Such other terms and conditions on cashback may include:
(k) Cashback Expiry
The validity or redemption period of your Cashback shall be as specified accompanying the issuance of the Cashback on the Platform. Upon the expiry of the validity or redemption period, the Cashback shall be deemed to have lapsed and you shall not have any recourse against the participating Merchant and/or us.
(l) Cashback Detail Breakdown
Depending on the Cashback issued to you (whether FAVE Cashback, Partner Cashback or e-Cashback), additional terms and conditions will apply and shall be as specified accompanying the issuance of such Cashback on the Platform. Such additional terms and conditions may be published as “Partner Cashback Detail Breakdown”. We and/or the participating Merchant shall not be held liable for any costs, expenses or loss arising from your failure to take note of or failure to comply with such additional terms and conditions.
(iii) Notwithstanding all of the above, we reserve all rights to make final determination of the terms of issuance and redemption of such Cashback on a case-to-case basis.
In the event of a cancellation or termination by a participating Merchant, any Cashback previously issued shall be refunded to us or if already utilized by you, shall be deducted from your Account in a manner we deem fit.
(m) Capping of Cashback (applicable for Singapore only)
Any Partner Cashback received from the utilization of FavePay and/or additional cashback earned from the purchase of eCards (“Bonus Cashback) by you, is subject always to a cumulative maximum total amount of SGD 1,000(“Capped Amount”). If at any given point in time, you have earned the Partner Cashback and/or Bonus Cashback up to the Capped Amount, you are no longer eligible to earn further Partner and/or Bonus cashback from any subsequent purchase of eCards and/or FavePay transactions. For the avoidance of doubt, you will once again be eligible to earn the Partner and/or Bonus cashback once your Partner and/or Bonus cashback falls below the Capped Amount.
16D.4 ADDITIONAL TERMS & CONDITIONS BY GRAB

16D.5 WARRANTIES
You hereby irrevocably acknowledge and agree that:
(a) we merely facilitate you to make the PayLater by Grab service available at the Merchant’s participating outlet;
(b) any and all information about the goods and/or services are provided by the Merchant to you;
(c) the Merchant is the ultimate seller and actual service provider;
(d) the Merchant, and not us, is solely responsible for providing the goods and/ or fulfilling the services sold to and purchased by you;
(e) the Merchant is solely responsible for performing the warranty or honour the guarantee (if any) attached to the goods and/ or services purchased;
(f) any dispute arising in connection with the provision, fulfilment or performance of the goods and/ or services shall be resolved between you and the Merchant only; and
(g) you have read and understood all additional terms and conditions accompanying the PayLater by GRAB made by you such as Cashback.
